Job Description


* Support the firm by identifying and managing legal risks including but not limited to legal documentation generation and review, contract negotiation, projects that require legal input, general legal advice to the business, etc.
* Prepare, draft and review all types of legal documents including fund agreements, local service agreements, HR related documents, general legal documents, etc. with counterparties, clients and service providers
* Instruct and liaise with external legal counsel, as and when necessary
* Provide sound legal advice to the management in Shanghai and the Legal Department in Edinburgh relating to legal issues in China
* Advise on products and services, including contract negotiation and documentation
* Support the Chief Risk & Compliance Officer in refining internal policies and setting up internal control framework
* Advise on offering, marketing documents and new business initiatives
* Manage dispute resolution or litigation
* Assist with the implementation of ad hoc projects and participate in project teams as identified
* Maintain and develop departmental proformas, checklists and shared resources
* Carry out research work, identify and analyze new legislation & consultative papers, proactively propose and implement solutions as necessary
* Ensure full compliance of the firm's legal and compliance policies


* Pass the national judicial examination
* At least 5 years of experience preferably from legal/compliance function of asset management companies or financial institutions, law firms or accounting firms.
* Experience in drafting and reviewing fund agreements is a plus
* Good knowledge of related laws & regulations of PRC asset management industry
* Strong communication and negotiation skills at all levels with the ability to collaborate effectively and maintain relationship with both internal and external parties
* Able to make sound judgements with strong analytical skills, provide pragmatic and business focused advice to the firm
* A self-motivated team player with a can-do attitude and a strong desire to develop
* Excellent drafting skills, effective communicator (written) in both English and Chinese
* Able to deliver high quality work with a proactive and positive approach
* Diligent, attention to details, well organised and able to work with minimum supervision
* Embrace diversity and strong ability to work with local and global colleagues across departments
* Flexible and willing to grow and change within an evolving organization
